Terms

1. Agreement to Terms

By accessing or using the services provided by Midlands Ads ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our local advertising management services or website.

2. Description of Services

Midlands Ads offers search engine marketing and social media advertising services, including but not limited to: Google Ads management, Meta Ads (Facebook & Instagram) strategy, local targeting, keyword configuration, lead tracking integrations, and performance reporting. All services are performed as described under our custom proposals or service plans.

3. Ad Spend and Management Fees

We operate on a transparent billing model:

• Ad Spend Billing: Ad spend budgets (the money paid directly to ad platforms like Google or Meta for impressions/clicks) are billed directly by Google or Meta to the client's registered payment card. We do not markup ad spend, nor do we act as a financial intermediary for these platform charges.
• Ad Management Fees: Our management fees cover our services in setting up, monitoring, optimizing, and reporting on campaigns. These are billed separately on a rolling monthly basis.

4. Client Access and Responsibilities

To effectively perform our campaign optimizations, the client agrees to provide the necessary access permissions (e.g. ad account access, business manager configurations, or website analytics integration). The client is responsible for ensuring their website, landing pages, and business offerings comply with local laws and the advertising guidelines set forth by Google and Meta.

5. Performance & Growth Benchmarks

While our ROI calculators, estimates, and case studies are constructed using robust industry benchmarks, Midlands Ads does not guarantee specific lead volumes, conversion rates, or sales figures. Actual performance is subject to local search demand, competitor bidding trends, and external market influences.

6. Service Term & Cancellation

Unless specified otherwise in writing, our standard advertising services are subject to an initial minimum term of three (3) months to facilitate proper setup, testing, and campaign optimisation. Following this initial term, services operate on a rolling month-to-month basis. Clients may cancel their management subscription by providing written notice at least 30 days prior to the start of the next billing cycle.

7. Limitation of Liability

To the maximum extent permitted by law, Midlands Ads shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, or business opportunities arising from ad account suspensions by third-party networks (Google/Meta), campaign performance fluctuations, or website down-times.
